Terms of use

These terms cover your use of Philofounder (the service), operated by GRANDPOINT LTD (company number 16498233), a private limited company registered in England and Wales. By signing in, you agree to them. Please read them alongside our privacy policy, cookie policy and data processing addendum.

Who we are

The service

Philofounder helps you track company deadlines and filings, organise documents, and answer questions about running your company. It is a productivity and information tool. It does not provide legal, accounting, or tax advice, and it is not a substitute for a qualified professional. Documents and letters produced from templates or drafted by the assistant are starting points for you or your adviser to check; you are responsible for what you send or sign. Philofounder does not file with Companies House or HMRC, does not make payments, and is not “HMRC recognised” software.

The service is for businesses: you must be at least 18 and using it for a company or other organisation you are entitled to act for. Some connections depend on arrangements with a regulator or provider (for example HMRC production access and our Open Banking arrangement); the Connections page states which connections are open to customers and which are in testing; a connection is listed as available only once customers can use it.

Your account

You are responsible for the information you add and for keeping access to your email secure, since sign-in uses links sent to your inbox. Let us know promptly if you think someone else has access to your account.

Connected accounts

You may choose to connect external accounts (such as your inbox, bank, or HMRC). You authorise each connection through the provider’s official flow, and you can revoke it at any time on the Connections page. Most connections are read-only. Two also write: Google Drive saves copies into folders you choose, when you send them or automatically if you turn that on; the Microsoft 365 calendar creates, moves and cancels the Teams meetings you schedule, and Microsoft sends the invitations and cancellations from your calendar. The service acts on your instruction; it will not file, pay, or change anything on your behalf without asking you first, and it never sends ordinary email from your mailbox.

Your team

The owner of a workspace may invite other people to it as a member (who can edit and confirm actions) or an accountant (who can read and collaborate). You are responsible for who you invite and for the role you give them; you can change or remove access at any time on the Team page, and every change is recorded in the workspace’s activity log. A person you invite must accept the invitation before they can see anything. Personal access tokens made in Settings act as the person who made them, with that person’s role, and stop working when that person leaves the workspace.

Drafts and the assistant

Philo drafts documents, letters, replies and figures from your records for you to review. A draft is not filed, sent or paid until you confirm it, and you are responsible for checking it before you do. The assistant can make mistakes; where it cites a source, check the source.

Data processing

Your workspace holds personal data about your directors, staff, advisers and the people who appear in your mail, bank feed, ledger and documents. For that data your organisation is the controller and GRANDPOINT LTD is your processor. The data processing addendum is part of these terms: it sets out our instructions, security measures, sub-processors, breach notification, deletion and audit rights, as UK GDPR Article 28 requires.

Acceptable use

Please use the service lawfully and do not attempt to disrupt it, access data that is not yours, reverse engineer it, or use it to harm others.

Accuracy and your responsibility

We aim to keep deadlines and register data accurate, but you remain responsible for meeting your own legal and filing obligations. Always confirm important dates and filings with the relevant authority.

Intellectual property

GRANDPOINT LTD retains all rights in the Philofounder platform, including its software, design, and content. Your company data and the documents you create or upload remain yours; you grant us only the permissions needed to operate the service for you.

Warranties and liability

The service is provided on an “as is” basis, without warranties of any kind to the extent the law allows. To the maximum extent permitted by law, GRANDPOINT LTD is not liable for any indirect or consequential loss, or for loss of profit, data, or business, arising from your use of or inability to use the service. Nothing in these terms limits any liability that cannot be limited under law.

Termination

You may stop using the service and close your account at any time. We may suspend or end access where these terms are breached or where needed to protect the service or other users.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute relating to them.

Changes

We may update these terms as the service grows. If we make a significant change, we will update the date above and, where appropriate, let you know.
